GENERAL CONDITIONS

governing the orders passed through electronic communications

Article 1

These general conditions, eventually completed by the provisions of the Swiss Federal Code of Obligations, govern the legal relationship between BLANC-VERT (PROCOVAR S.A.), on the one hand and any person or entity which shall have passed an order by electronic communication to BLANC-VERT (the "Client"), on the other hand.

Any dispute (if any) would be exclusively submitted to the Courts of the Canton of Geneva, Switzerland.

Article 2

The contract entered into by BLANC-VERT and the Client is an "enterprise contract" since BLANC-VERT is instructed to custom produce the goods according to specifications selected by the Client. It is entered into only after BLANC-VERT received from the Client the total payment of the goods.

Article 3

The Client addresses to BLANC-VERT an order by sending to BLANC-VERT through electronic mail the form, duly completed, dedicated to that effect. The Client then makes total payment of the order, according to the indicated procedure. It is specified that BLANC-VERT may, without indication of its motivations, refuse an order. The Client would then be reimbursed.

It is also specified that depending on the electronic device used (computer, telephone, etc.), the colour appearing on the screen may slightly differ from the real colour.

Article 4

Delivery will take place between 7 and 10 working days. Delivery shall be made by the Post, by registered mail. Should the goods delivered not be in conformity with the specifications of the order or in a case where the goods show defects, BLANC-VERT shall take the goods back and reimburse the Client. Any other possibility of reimbursement is excluded.

Article 5

The property of the goods is transferred to the Client when the goods are remitted by BLANC-VERT to the Post.

Article 6

The indicated prices include VAT but not the transportation costs which shall be automatically included, at cost, in the total amount indicated in the order. It is the reception by BLANC-VERT of the latter amount from the Client which triggers the conclusion of the contract.

Article 7

BLANC-VERT reserves the right to modify at any time these General Conditions. The wording in force at the time of the contract conclusion governs said contract.
